Terms of Service

SypherDyne is an asynchronous research service operated through email and a private account workspace. It is built for depth, source collection, and low-maintenance “send it and continue with your day” use—not instant chat or guaranteed rapid delivery.

1. Agreement and eligibility

These Terms govern access to SypherDyne Systems’ websites, email research workflow, account workspace, reports, billing features, and related services (collectively, the “Service”). By creating an account, accepting these Terms, purchasing a plan, or using the Service, you agree to them and to the Privacy Policy.

You must be legally able to enter a binding agreement and provide accurate account and billing information. If you use the Service for an organization, you represent that you may bind that organization.

2. What the Service provides

Members submit research requests from the verified email address associated with their account to the private member destination shown after sign-in. SypherDyne may conduct multiple searches, follow leads, compare sources, revisit questions, and assemble cited findings over one or more research sprints.

Work may continue for hours or across different processing windows. The resulting report, status information, citations, and research memories may be delivered by email and made available in the private workspace. The Service is not a conventional real-time AI chat product and is not designed around keeping a user on a processing screen.

3. Asynchronous delivery and availability

SypherDyne does not promise an immediate start, continuous processing, a particular completion time, or delivery by a deadline unless a separate written service-level agreement expressly says otherwise. Complexity, source availability, compute capacity, safety review, third-party outages, and follow-up research can affect timing.

Estimates and status labels are informational. A request can be queued, delayed, paused, rejected, cancelled, or fail. Do not use the Service for emergencies, time-critical decisions, or work where delayed delivery could cause harm.

4. Daily query limits and compute policy

Paid plans include a daily research-query allowance. Daily limits protect finite shared compute capacity and help make deeper research available consistently across members. The applicable allowance and reset time are shown in the account workspace.

A research request may count against the allowance when it is accepted for processing or completed, as shown in account usage. Re-sending substantially the same request, splitting one request to evade a limit, or sending concurrent requests does not guarantee additional processing. SypherDyne may reject excess requests and may correct clearly erroneous usage records.

Unused daily queries do not roll over, accumulate, transfer, or have cash value. Increasing a plan raises the daily limit for the upgraded plan; it does not erase queries already used during that day.

5. Research quality, citations, and limitations

The Service aims to produce detailed, source-rich research, but no report is guaranteed to be complete, current, accurate, unbiased, original, or suitable for a particular purpose. Sources can be unavailable, paywalled, wrong, superseded, manipulated, or contradictory. Automated analysis can misunderstand evidence or generate incorrect conclusions.

You are responsible for opening and evaluating important citations, checking facts with primary sources, obtaining qualified human review, and deciding how to use a report. A citation indicates a source considered during research; it is not a warranty that every statement in that source is true.

6. No professional advice

Reports are general research assistance, not legal, medical, financial, tax, investment, safety, engineering, compliance, or other regulated professional advice. The Service does not create a professional-client, fiduciary, or confidential-adviser relationship. Consult an appropriately licensed professional before acting on high-stakes information.

7. Member responsibilities and acceptable use

You must protect account credentials, send requests only from authorized addresses, and promptly report suspected unauthorized access. You may not use the Service to violate law or another person’s rights; obtain or expose private credentials or personal data without authority; facilitate malware, fraud, harassment, surveillance, weapons, or physical harm; bypass usage or safety controls; overload infrastructure; or interfere with other members.

Do not submit information you are not authorized to disclose. SypherDyne may reject requests, restrict functionality, suspend processing, or terminate access when reasonably necessary for security, safety, legal compliance, system integrity, nonpayment, or enforcement of these Terms.

8. Accounts, email, and research memories

The verified account email identifies the member to the email research system. Messages from unrecognized or unauthorized senders may be ignored or rejected. You are responsible for maintaining access to your email account and checking delivery, spam, and account status.

The Service may retain reports, sources, events, report files, and research memories to build your private catalog and inform later research. Available memory controls let you exclude a memory from future work without necessarily deleting the original report. Deletion requests are handled under the Privacy Policy and may be subject to legal, security, backup, and billing retention requirements.

9. Plans, renewals, upgrades, and cancellation

Paid subscriptions renew automatically each month until cancelled. Prices are displayed before purchase; taxes and final totals are handled by Stripe. An upgrade takes effect during the current billing period after Stripe successfully collects the prorated difference for the unused portion of that period. Future renewals use the higher plan price.

If an upgrade payment fails or requires unresolved action, the higher plan and allowance do not become active. Downgrades are normally scheduled for the next renewal. Cancellation normally takes effect at the end of the paid period, and access continues until then unless the account is suspended for cause.

10. Refunds and failed research

Subscription and proration charges are generally non-refundable once a billing period or upgrade begins, except where required by law. SypherDyne may, at its discretion, restore a query or provide a credit for a verified system failure that produced no meaningful research. Dissatisfaction with conclusions, source disagreement, or a request taking longer than expected does not automatically qualify for a refund.

Report billing errors promptly through the contact address below. This section does not limit mandatory consumer rights.

11. Content and intellectual property

You retain rights you hold in prompts, email content, and other material you submit. You grant SypherDyne the limited rights necessary to receive, store, process, reproduce, and transmit that material to operate, secure, and improve the Service for you.

Subject to payment and these Terms, you may use delivered reports for lawful personal or internal business purposes. Third-party sources remain subject to their own rights and licenses. SypherDyne retains its software, branding, interfaces, research systems, templates, and underlying technology.

12. Third-party services

The Service depends on providers for payments, email, hosting, networking, research sources, and other infrastructure. Their availability and terms can affect the Service. Stripe processes payment details; SypherDyne does not store full card numbers.

13. Disclaimers

To the maximum extent permitted by law, the Service and reports are provided “as is” and “as available.” SypherDyne disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty that cannot legally be excluded.

14. Limitation of liability

To the maximum extent permitted by law, SypherDyne will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, opportunity, or goodwill; or decisions made from a report. SypherDyne’s aggregate liability relating to the Service will not exceed the amount you paid for the Service during the three months before the event giving rise to the claim. These limits do not apply where prohibited by law.

15. Termination and changes

You may stop using the Service and cancel billing through the available billing controls. SypherDyne may suspend or terminate access for material breach, abuse, security risk, legal obligation, or nonpayment. Sections that logically survive termination—including payment obligations, intellectual property, disclaimers, and liability limits—will survive.

SypherDyne may update these Terms as the Service changes. Material updates will be presented for acceptance or otherwise communicated through reasonable account or email notice. Continued use after the effective date constitutes acceptance where permitted by law.

16. Governing terms and contact

Applicable law governs these Terms without regard to conflict-of-law rules, while preserving any mandatory consumer protections that apply to you. Before filing a formal claim, the parties agree to attempt good-faith informal resolution for at least 30 days.
